Terms of Service

By accessing or using the Services in any way — including browsing the website, submitting a demo, or contacting us through any form on the site — you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated into these Terms by reference.

If you are accessing the Services on behalf of a company, label, or other organization, you represent that you have the authority to bind that entity to these Terms.

You agree to use the Services only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use and enjoyment of the Services.

You agree that you will not:

• Use the Services in any way that violates applicable local, state, national, or international laws or regulations.
• Attempt to gain unauthorized access to any part of the Services, our servers, or any systems or networks connected to the Services.
• Use any automated tool, bot, script, or software to extract, copy, or index any content from the Services without our prior written permission.
• Impersonate any person, artist, or entity, or misrepresent your affiliation with any person or organization.
• Transmit any unsolicited commercial communications, spam, or harassing content through or in connection with the Services.
• Introduce any malware, viruses, or other harmful code into the Services.
• Attempt to interfere with the proper functioning of the Services in any way.

We reserve the right to terminate or restrict your access to the Services at any time, without notice, if we believe you have violated these Terms.

Proximity accepts demo submissions from artists for internal A&R (artist and repertoire) consideration. If you submit a demo through our Demo Submission form, the following terms apply:

Scope of Submission

• Your demo is submitted for A&R evaluation purposes only. Submission does not guarantee a response, a listening session, a meeting, or any form of follow-up.
• Proximity is under no obligation to sign, represent, distribute, or otherwise engage with any submitted artist or track.

No Contractual Relationship

Submission of a demo does not create any contractual relationship, agency relationship, or other legal obligation between you and Proximity LLC. No contract for services, management, distribution, or licensing is formed by the act of submission.

Artist Representations

By submitting a demo, you represent and warrant that:

• You are the owner of the submitted track, or that you have all necessary rights, licenses, and permissions to share it with Proximity for evaluation purposes.
• Your submission does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
• You are at least 18 years of age, or have the consent of a parent or legal guardian.

How we handle submissions

• Proximity will not share your submitted demo, track link, or personal contact details with third parties outside of our team without your consent, except as required by law.
• We may retain your submission information (Artist Name, email address, track link, and description) in our internal records for a reasonable period for reference, follow-up, and internal tracking purposes.
• We do not claim any ownership of submitted tracks or creative works. Submission does not transfer any intellectual property rights to Proximity LLC.

All content on the Services — including but not limited to text, graphics, logos, images, artwork, artist names used with permission, and the overall look and feel of the site — is owned by Proximity LLC or is used under license from the respective rights holders.

This content is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any content from the Services without our prior written permission, except as follows:

• You may share links to pages on the Services through ordinary social sharing.
• You may print or download a reasonable number of pages from the Services for your own personal, non-commercial reference.

Nothing in these Terms grants you any license or right to use any trademark, logo, or service mark of Proximity LLC without our prior written consent.

The Services may contain links to third-party websites, platforms, streaming services, and other content that is not owned or controlled by Proximity. This may include links to music platforms, social media, and external artist pages.

Proximity has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations about third-party sites. If you choose to access a third-party site linked from the Services, you do so at your own risk and subject to that site's own terms and policies.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, Proximity LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Proximity does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected.

Your use of the Services is at your sole risk.

To the fullest extent permitted by applicable law, in no event will Proximity LLC, its officers, directors, employees, affiliates, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption — arising out of or related to your use of or inability to use the Services, even if Proximity has been advised of the possibility of such damages.

In no event will Proximity's total liability to you for any and all claims arising out of or related to these Terms or the Services exceed one hundred U.S. dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some of the above limitations may not apply.

These Terms and any disputes arising out of or related to them or the Services will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles.

Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction of those courts.

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or services. When we make material changes, we will update the "Last Updated" date at the top of this page.

Your continued use of the Services after any changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, please stop using the Services.

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proximity LLC regarding your use of the Services and supersede any prior agreements.
• Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.
• No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
• No Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
